Terms of Use

Please read this End User License Agreement ("Agreement") carefully before using Backchannel (the "Licensed Application"). By downloading or using the Licensed Application, you agree to be bound by the terms of this Agreement. If you do not agree, do not use the Licensed Application.

The Licensed Application is licensed to you by Matthew Monzingo ("Licensor"), not sold.

a. Scope of License

The Licensor grants you a non-transferable license to use the Licensed Application on any device that you own or control. You may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, sublicense, or create derivative works of the Licensed Application. You may not copy, decompile, reverse-engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application or any part thereof.

b. Consent to Use of Data

You agree that the Licensor may collect and use technical data and related information — including but not limited to information about your device and usage patterns — to facilitate software updates, product support, and other services. This data is collected in a form that does not personally identify you and is used solely to improve the Licensed Application and related services.

c. Termination

This Agreement is effective until terminated by you or the Licensor. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Application and destroy all copies, full or partial, of the Licensed Application.

d. External Services

The Licensed Application may enable access to third-party services and content, including AI-generated research content. Use of such services is at your sole risk. The Licensor is not responsible for examining or evaluating the content or accuracy of any third-party services and shall not be liable for any such third-party services. You agree to comply with the applicable terms of service for any third-party services you access through the Licensed Application.

e. No Warranty

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT USE OF THE LICENSED APPLICATION IS AT YOUR SOLE RISK. THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. THE LICENSOR HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

THE LICENSOR DOES NOT WARRANT THAT THE LICENSED APPLICATION WILL MEET YOUR REQUIREMENTS, THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY THE LICENSOR SHALL CREATE A WARRANTY.

AI-generated content may be inaccurate, incomplete, or out of date. You are solely responsible for how you use the content provided by the Licensed Application.

f. Limitation of Liability

TO THE EXTENT NOT PROHIBITED BY LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL THE LICENSOR'S TOTAL LIABILITY TO YOU EXCEED FIFTY DOLLARS ($50.00).

g. Export Controls

You may not use or otherwise export or re-export the Licensed Application except as authorized by the laws of the jurisdiction in which the Licensed Application was obtained. In particular, but without limitation, the Licensed Application may not be exported or re-exported into any country subject to applicable sanctions or trade embargo laws, or to any person or entity on a government restricted-parties list.

h. Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of California, excluding its conflict of law principles. If you are a consumer in the European Union, you may also benefit from any mandatory provisions of the law of your country of residence.
